CHORAL GROUP BY SIS. DOROTHY CARPENTER WELLS (referred to as “CHORAL”, “us”, “our”, and “we”) is a nonprofit 501(c)(3)
The group that runs certain websites with the URL electrifyingeasternnaires.org (“Websites”). These Terms of Service explain the terms and circumstances under which CHORAL permits you and other users to access and use its Websites and the content available on them via dashboards, a search function, and APIs to ease access to our content. These Terms of Service refer to the dashboards, search mechanisms, and APIs as “CHORAL SERVICES.”.
These Terms of Service form a legally enforceable agreement between you and us. If you do not agree to these Terms of Service, please do not use the CHORAL Services.
2. Licenses and Ownership
CHORAL provides you a limited, non-exclusive license to use our Websites and the CHORAL Services for any legal purpose. Please keep in mind that this does not include a license to use the CHORAL logo or service marks (which we own) or any linked articles (which belong to third parties).
CHORAL makes no claims to ownership of individual items of bibliographic metadata and associated digital object identifiers (DOIs) accessed or obtained through the CHORAL Services. Individual pieces of bibliographic metadata and their accompanying DOIs can be stored and integrated into your content and systems.
All rights not expressly granted or disclaimed herein are reserved by CHORAL.
3. Limitations.
The CHORAL Services provide access to specific metadata pieces for personal and business usage. CHORAL maintains the right, at its sole discretion, to suspend or terminate the CHORAL Services and any individual user’s capacity to access them.
4. Members
CHORAL members can access a member API via a confidential URL. Members are not permitted to share the URL outside of their organization and must keep it confidential.
CHORAL provides additional fee-based services to its member organizations. The conditions of these services are controlled by a publisher membership agreement or an affiliate membership agreement. For further information about membership, please check Membership or Join CHORAL.
5. Link to Third-Party Content
The Websites and CHORAL Services contain connections to third-party material and websites. These Terms of Service are not applicable to that content or those websites. CHORAL has not checked any third-party content or websites for correctness, suitability, completeness, or non-infringement. CHORAL makes no claims or warranties regarding such third-party content or websites and bears no responsibility or liability for them.
CHORAL Services allows you to read papers reporting on supported research. These articles are accompanied by license terms, which regulate their use. The license granted by these Terms of Use does not extend to such articles.
6. Warranties, disclaimers, and limitations of liability
THE WEBSITES AND CHORAL SERVICES ARE PROVIDED ON AN “AS IS” BASIS, AND CHORAL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES (individually and collectively, the “CHORAL PARTIES”) DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ANY AND ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, ORAL, OR WRITTEN) RELATING TO THE WEBSITES AND CHORAL SERVICES, INCLUDING, WITHOUT LIMITATION, TO THE FULLEST EXTENT PERMITTED BY LAW, (1) IN NO EVENT SHALL THE CHORAL PARTIES BE LIABLE FOR ANY LOSSES, DAMAGES, LIABILITIES, COSTS OR CLAIMS (“COSTS”) DIRECTLY OR INDIRECTLY ARISING OUT OF YOUR USE OF THE WEBSITES OR CHORAL SERVICES; (2) YOU IRREVOCABLY RELEASE AND HOLD HARMLESS THE CHORAL PARTIES FROM ANY SUCH COSTS; (3) UNDER NO CIRCUMSTANCES SHALL THE AGGREGATE LIABILITY OF THE CHORAL PARTIES IN CONNECTION IN ALL CASES, THE CHORAL PARTIES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT WAS NOT REASONABLY FORESEEABLE.
7. Modifications to the Terms of Service
We may alter these Terms of Service from time to time by posting a revised version on our Websites; however, no modifications will apply retrospectively. Your continued use of the Websites and CHORAL Services following the posting of such amended Terms of Service constitutes your agreement to the changes.
8. General
These Terms of Service constitute the complete agreement between CHORAL and you for the CHORAL Services, and they do not create any third-party rights. If one of the provisions is deemed unenforceable, the remaining terms will remain unaffected. If there is a discrepancy between these Terms of Service and the Publisher or Affiliate Membership Agreement, the latter will prevail. If you do not comply with any of these Terms of Service and we do not take immediate action to enforce them, this does not imply that we waive our rights, including the right to take action in the future. We may take any measures necessary to ensure that we comply with applicable laws. These Terms of Service will be interpreted and regulated by the laws of the State of New York, except for any legislation that may require the application of laws from another jurisdiction. All claims, disputes, and actions arising out of or pertaining to these Terms of Service shall be resolved entirely in White Plains, New York.
